1. Acceptance of Terms
Welcome to Gravy ("Gravy," "we," "us," or "our"), available through gravynotes.com, the Gravy web application, and the Gravy iOS application (collectively, the "Services").
These Terms of Service ("Terms") govern your access to and use of the Services.
By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
2. Operator Information
At the time of publication, the Services are operated through gravynotes.com.
Future ownership and operation of the Services may be transferred to a successor entity, including a limited liability company or other legal entity.

3. Eligibility
You must meet the minimum age required under applicable law to use the Services.
By using the Services, you represent and warrant that:
- You have the legal capacity to enter into these Terms.
- You are not prohibited from using the Services under applicable law.
- Information you provide is accurate and current.
4. Accounts
To access the Services, you must create an account.
You must promptly notify Gravy if you believe your account has been compromised.
You may register using:
- Email and password
- Google Sign-In
- Apple Sign-In
You are responsible for:
- Maintaining the confidentiality of your credentials
- Restricting access to your account
- All activities occurring under your account
5. Single-User Accounts
Gravy subscriptions are intended for individual use.
You may not:
- Share your account
- Transfer your account
- Sell your account
- Lease your account
- Provide access to third parties
Unauthorized account sharing may result in suspension or termination.
6. Subscription Plans
Access to the Services requires an active subscription.
Subscription plans may include:
- Monthly subscriptions
- Annual subscriptions
- Free trials
Pricing and plan details may change over time.
7. Free Trial
Gravy may offer a seven (7) day free trial.
Users may be required to provide payment information before beginning a free trial.
If a user cancels during the free trial period, access remains available until the trial expires.
If the subscription is not canceled before the trial period ends, the subscription may automatically renew and applicable charges may apply.
8. Billing and Payments
Payments are processed through third-party providers, including:
- Apple
- Stripe
- RevenueCat
Gravy does not store complete payment card information.
By purchasing a subscription, you authorize the applicable payment provider to charge your selected payment method.
9. Subscription Cancellation
Users may cancel subscriptions through the billing management tools provided within the Services.
Depending on the purchase platform, cancellation may be managed through:
- Apple subscription management
- Stripe billing portal
- Other authorized billing providers
Cancellation prevents future renewals.
Cancellation does not automatically generate a refund.
10. Access Following Cancellation
If a paid subscription is canceled, access remains available through the end of the current billing period.
If a free trial is canceled, access remains available until the trial expires.
11. Data Retention Following Expiration
Following subscription expiration or termination, account data may remain available for up to sixteen (16) days.
During this period, users may reactivate their subscription.
After the retention period expires, data may be permanently deleted.
12. Account Deletion
Users may delete their accounts through account settings.
Account deletion results in permanent removal of associated account data from the Gravy database.
Account deletion is separate from subscription cancellation.
13. User Content
Users may create, submit, upload, store, or process content through the Services, including:
- Chats
- Smart Notes
- Smart Blocks
- Bookmarks
- Audio content
- Video content
- Images
- Documents
- PDFs
- YouTube links
- About You information
- Other content
Users retain ownership of their content.
14. License Granted to Gravy
By submitting content through the Services, you grant Gravy a limited, worldwide, non-exclusive, royalty-free license to:
- Host
- Store
- Process
- Analyze
- Display
- Reproduce
- Transmit
such content solely for the purpose of operating, maintaining, improving, securing, and providing the Services.
15. User Responsibilities
You are solely responsible for:
- Your account
- Your content
- Your use of the Services
- Compliance with applicable laws
You represent and warrant that you possess all rights, permissions, licenses, and authority necessary to submit content to the Services.
16. Acceptable Use
You agree not to:
- Violate laws or regulations
- Commit fraud
- Engage in harassment
- Upload malicious software
- Distribute malware
- Interfere with the Services
- Circumvent security measures
- Access systems without authorization
- Infringe intellectual property rights
- Submit unlawful content
- Abuse infrastructure resources
- Use the Services in a manner that harms Gravy or other users
17. Reverse Engineering and System Abuse
You may not:
- Reverse engineer the Services
- Extract source code
- Probe infrastructure
- Discover system prompts
- Extract hidden instructions
- Circumvent usage limits
- Scrape data without authorization
- Attempt unauthorized access
- Test vulnerabilities without permission
Gravy reserves the right to suspend or terminate accounts engaging in such activities.
18. Artificial Intelligence Services
The Services rely on artificial intelligence technologies and third-party AI providers.
AI-generated outputs may be:
- Inaccurate
- Incomplete
- Outdated
- Misleading
- Unavailable
AI outputs should be independently reviewed and verified.
19. No Professional Advice
The Services do not provide:
- Legal advice
- Medical advice
- Financial advice
- Tax advice
- Investment advice
- Mental health advice
- Professional services
Any information generated through the Services is provided for informational purposes only.
Users are solely responsible for decisions made based on AI-generated outputs.
20. Third-Party Services
The Services may depend on third-party providers, including:
- Supabase
- Vercel AI Gateway
- OpenAI
- Anthropic
- RevenueCat
- Stripe
- Apple
- Google Analytics
- Meta Pixel
- Sentry
- Google Docs
Gravy is not responsible for third-party services, products, policies, availability, or actions.
21. Exports and Integrations
The Services may allow users to export content to third-party platforms.
Exports are initiated by users.
Once exported, content becomes subject to the policies and practices of the destination platform.
22. Service Availability
The Services are provided on an "AS IS" and "AS AVAILABLE" basis.
Gravy does not guarantee:
- Continuous availability
- Error-free operation
- Uninterrupted access
- Permanent feature availability
- Successful AI outputs
- Successful transcription results
- Successful uploads
Service interruptions may occur due to maintenance, outages, provider failures, technical issues, or other factors.
23. Service Changes
Gravy reserves the right to:
- Add features
- Remove features
- Modify features
- Replace integrations
- Change AI models
- Adjust limits
- Suspend functionality
- Discontinue portions of the Services
at any time.
24. Intellectual Property
The Services, including software, branding, design elements, interfaces, and proprietary technology, are owned by Gravy and protected by applicable intellectual property laws.
Except as expressly permitted, no rights are granted to users.
25. Suspension and Termination
Gravy may suspend, restrict, or terminate access to the Services at any time if:
- These Terms are violated
- Security risks are identified
- Abuse is detected
- Fraud is suspected
- Infrastructure is threatened
- Legal compliance requires action
Such action may occur with or without prior notice.
26. Limitation of Liability
To the maximum extent permitted by law, Gravy and its owners, operators, affiliates, licensors, service providers, employees, contractors, and agents shall not be liable for:
- Indirect damages
- Consequential damages
- Special damages
- Incidental damages
- Lost profits
- Lost revenue
- Lost data
- Business interruption
- Reliance on AI outputs
arising from or relating to the Services.
27. Liability Cap
To the maximum extent permitted by law, Gravy's total aggregate liability arising out of or relating to the Services shall not exceed the greater of:
(a) the amount paid by the user to Gravy during the twelve (12) months preceding the claim; or
(b) One Hundred United States Dollars ($100 USD).
28. Indemnification
You agree to defend, indemnify, and hold harmless Gravy and its affiliates, owners, operators, contractors, employees, and service providers from claims, liabilities, damages, losses, and expenses arising from:
- Your use of the Services
- Your content
- Your violation of these Terms
- Your violation of applicable law
- Your infringement of third-party rights
29. Business Transfers
Gravy may assign, sell, or otherwise transfer its rights and obligations under these Terms in connection with:
- Mergers
- Acquisitions
- Asset sales
- Reorganizations
- Financing transactions
- Business transfers
User accounts, subscriptions, and associated data may be transferred as part of such transactions.
30. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles.
31. Jurisdiction and Venue
Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Delaware.
You consent to the jurisdiction of such courts.
32. Changes to These Terms
Gravy may update these Terms from time to time.
Changes become effective upon publication unless otherwise stated.
Continued use of the Services following changes constitutes acceptance of the revised Terms.
